These terms and conditions ("Terms") govern your use of the Codex Digital website at digital.codexcorp.ca (the "Site"). Codex Digital is an operating company of Codex Corp ("Codex Digital", "we", "us", or "our"), based in Vancouver, British Columbia, Canada. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Please note: these Terms cover use of this website. Our design services are provided under a separate written agreement or statement of work (SOW) for each engagement. Where an engagement agreement and these Terms conflict, the engagement agreement governs that engagement.

1. Acceptance and scope

These Terms apply to all visitors to the Site. They describe the rules for using the Site and provide an overview of how our design engagements work. They do not, by themselves, create a services contract. Design services are governed by per-project agreements as described below.

2. About Codex Digital

Codex Digital is the brand and digital design company of Codex Corp. We provide brand identity systems, logo design, UI/UX and digital product design, motion graphics, and marketing and creative design for business clients. This Site is a marketing and portfolio site; prospective clients engage us through inquiry.

3. Eligibility

The Site and our services are intended for businesses and for individuals who are old enough to enter into a binding contract in their jurisdiction. By using the Site you represent that you meet these requirements and, if acting for an organization, that you are authorized to do so.

4. Engagement overview

A typical engagement begins with an inquiry, followed by a discussion of scope, a written proposal or quote, and a signed agreement or SOW before work begins. The agreement sets out the deliverables, fees, timelines, revision rounds, and other commercial terms specific to your project.

5. Quotes and portfolio are informational

Pricing references, sample timelines, portfolio examples, and other content on the Site are provided for general information only. They do not constitute a binding offer, a guarantee of results, or a commitment to specific terms. A binding engagement exists only once a written agreement or SOW is signed by both parties.

The following describes our default approach to design deliverables. The specific terms for any project are set out in that project's agreement, which prevails over this section.

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

9. Limitation of liability

To the maximum extent permitted by law, Codex Digital and Codex Corp will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Site. Nothing in these Terms limits liability that cannot be limited under applicable law. Liability arising from a design engagement is governed by the applicable project agreement.

10. Indemnity

You agree to indemnify and hold harmless Codex Digital, Codex Corp, and their personnel from any claims, losses, or expenses arising out of your misuse of the Site or your breach of these Terms.

11. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising out of or relating to these Terms or the Site, subject to any dispute-resolution terms in an applicable project agreement.

12. Changes to these Terms

We may update these Terms from time to time. The "last updated" date above reflects the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
