Terms and conditions

These terms and conditions ("Terms") govern your use of the Codex Studios website at studios.codexcorp.ca. Codex Studios is an operating company of Codex Corp, based in Vancouver, British Columbia, Canada ("Codex Studios," "we," "us," or "our"). By accessing or using this website, you agree to these Terms. If you do not agree, please do not use the website.

This website is a marketing site. Our production services are governed by a separate written agreement for each project, such as a quote, proposal, statement of work, or production agreement. Where those documents conflict with these Terms, the project agreement controls for that engagement.

1. Acceptance and scope

These Terms apply to your use of the website and to the general framework of our engagement process. They do not by themselves create a contract for production services. A binding services contract is formed only when you and Codex Studios sign or otherwise accept a project-specific agreement.

2. About Codex Studios

Codex Studios is the visual media production company of the Codex Corp group, offering professional photography, videography, drone and aerial production, brand films, and commercial and event production for business clients.

3. Eligibility

The website and our services are intended for businesses and for individuals who are old enough to enter into a binding contract in their jurisdiction and who are authorized to act for the organization they represent.

4. Bookings and engagements

You can start an engagement by submitting an inquiry or booking request. Content on this website, including portfolio work, service descriptions, and any indicative pricing, is provided for general information only and is not a binding offer. Project scope, fees, timelines, and deliverables are confirmed in the project-specific quote or statement of work, which both parties must accept before work begins.

5. Intellectual property and licensing of deliverables

The website and its content (including text, design, graphics, and our logos) are owned by or licensed to Codex Corp and its operating companies and are protected by intellectual property laws. You may not copy, reproduce, or reuse website content except as permitted by these Terms or with our written permission.

For commissioned work, ownership and usage rights in the photo and video deliverables are determined by the applicable production agreement. Unless that agreement states otherwise:

6. Model and property releases

Where a production involves identifiable people, private property, or specific locations, appropriate model, property, or location releases and permissions are arranged as part of the engagement. The client is responsible for arranging access and for informing participants where the client controls the production environment, and we will cooperate to obtain the releases needed to deliver and use the work as agreed.

7. Acceptable use of the website

You agree not to misuse the website, including by attempting to gain unauthorized access, interfering with its operation, scraping or copying content at scale, introducing malicious code, or using it for any unlawful purpose.

8. Disclaimers

The website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or secure. Service-related warranties, if any, are set out in the relevant production agreement.

9. Limitation of liability

To the fullest extent permitted by law, Codex Studios and Codex Corp will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of your use of the website. Liability arising from production services is governed by, and limited as set out in, the applicable project agreement.

10. Indemnity

You agree to indemnify and hold harmless Codex Studios, Codex Corp, and their personnel from claims, losses, and expenses arising out of your misuse of the website or your breach of these Terms, except to the extent caused by our own negligence or wilful misconduct.

11. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising from these Terms or the website, subject to any dispute-resolution terms in a specific project agreement.

12. Changes to these Terms

We may update these Terms from time to time. The "last updated" date above reflects the current version, and your continued use of the website after changes are posted constitutes acceptance of the revised Terms.
