These Terms & Conditions ("Terms") govern your use of the website at labs.codexcorp.ca (the "Site"), operated by Codex Labs, an operating company of Codex Corp ("Codex Labs", "we", "us" or "our"), based in Vancouver, British Columbia, Canada. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

What these Terms cover. These Terms govern this marketing website. Custom software and product engineering engagements are governed by the separate written agreement we enter into with each client. Our individual apps (Health Codex, Dream Codex, and Finance Codex) are governed by their own terms of service and by the applicable app store terms, not by these Terms.

1. About Codex Labs

Codex Labs is the software product company of Codex Corp. We build and own our own software products and take on custom software and product engineering engagements. The Site is an informational and marketing resource describing who we are and what we do.

2. Eligibility

You must be at least the age of majority in your province or territory of residence, and able to form a binding contract, to use the Site on behalf of yourself or an organization you are authorized to represent.

3. Acceptable use

You agree not to misuse the Site. In particular, you will not:

attempt to gain unauthorized access to the Site or its underlying systems;
interfere with or disrupt the Site's operation or security;
use automated means to scrape or harvest content except as permitted by law;
use the Site to transmit unlawful, infringing, or harmful material; or
copy, reproduce, or redistribute Site content except as expressly permitted.

4. Intellectual property

Codex Labs owns or licenses its software products, the Codex Labs and Codex Corp brands, names, logos, and all Site content, design, and code, except where otherwise noted. These are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, revocable licence to view the Site for lawful, informational purposes. No other rights are granted, and nothing on the Site transfers ownership of any of our products or intellectual property to you.

5. Informational nature of the Site

Content on the Site is provided for general information about Codex Labs and our products and services. It does not constitute an offer, a commitment, professional advice, or a guarantee of any particular result. Any engagement, pricing, scope, deliverables, and timelines are confirmed only in a separate signed agreement.

6. Our apps and external links

The Site may describe and link to our mobile applications and to third-party platforms, including the Apple App Store and Google Play. Downloading, installing, or using any of our apps is subject to that app's own terms of service and privacy policy, and to the terms of the relevant app store. We are not responsible for the content or practices of third-party sites or stores. Please review the relevant app's terms:

7. Disclaimers

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components.

8. Limitation of liability

To the fullest extent permitted by applicable law, Codex Labs and Codex Corp, and their directors, officers, employees, and contractors, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of, or inability to use, the Site. Where liability cannot be excluded, it is limited to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnity

You agree to indemnify and hold harmless Codex Labs and Codex Corp from any claims, damages, liabilities, and reasonable expenses arising out of your misuse of the Site or your breach of these Terms or applicable law.

10. Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which describe how we handle personal information and use cookies and local storage.

11. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree that the courts located in British Columbia will have jurisdiction over any dispute arising out of or relating to the Site or these Terms, subject to any non-waivable rights you may have under consumer protection law.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
