1. Acceptance and scope

These Terms & Conditions ("Terms") form an agreement between you and Codex Corp ("Codex Corp", "we", "us") and apply to your access to and use of our corporate and marketing website at codexcorp.ca (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. About Codex Corp and our services

Codex Corp is a Canadian holding company based in Vancouver, British Columbia. It owns four operating companies: Codex Studios, Codex Digital, Codex Labs, and Codex Systems. They work together as a single digital partner. This Site presents the group and routes visitors to the appropriate operating company.

Services are delivered by the operating companies under separate agreements. The Site is informational. Any engagement, project, product, or service is provided by the relevant operating company (or standalone app) under its own separate terms, contract, and policies. Those agreements, not these Terms, govern the services themselves. Nothing on this Site creates a client relationship on its own.

You must be at least the age of majority in your jurisdiction and able to form a binding contract to use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

All content on the Site, including text, design, layout, graphics, the Codex Corp name, the Codex Studios, Codex Digital, Codex Labs, and Codex Systems names, and all related logos and brand marks, is owned by or licensed to Codex Corp and is protected by intellectual-property laws. You may view and use the Site for your own informational and non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works from Site content or our brand marks without our prior written permission.

The Site is provided on an "as is" and "as available" basis. While we work to keep it accurate and current, we make no representations or warranties of any kind, express or implied, about the Site's completeness, accuracy, reliability, or availability. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Informational only: not a binding offer. Any gap-analysis report, recommendation, scope outline, timeline, or estimate provided through the Site is for general informational purposes only. Pricing and scope are confirmed only in a signed agreement with the relevant operating company.

To the fullest extent permitted by law, Codex Corp and its operating companies, directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Site, even if advised of the possibility of such damages. Where liability cannot be excluded, it is limited to the maximum extent permitted by applicable law.

You agree to indemnify and hold harmless Codex Corp and its operating companies from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Site or your breach of these Terms or applicable law.

11. Governing law and dispute resolution

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree that the courts located in British Columbia have exclusive jurisdiction over any dispute arising out of or relating to the Site or these Terms, and you consent to that jurisdiction and venue.

12. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect means you accept the updated Terms.
